Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and BetterVue, operated by Oliver Birringer, Sobieskigasse 25/24, 1090 Wien, Austria ("we", "us", "scoped"), governing your use of the scoped platform at scoped.earth and all related services (the "Service"). These Terms are governed by the Austrian E-Commerce Act (ECG), the Austrian Consumer Protection Act (KSchG), and the General Data Protection Regulation (GDPR).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

scoped is a carbon accounting and climate decision platform that enables municipalities, companies, and organizations to:

• Track, calculate, and report greenhouse gas emissions
• Manage emission factors and data sources
• Plan and monitor reduction actions
• Generate compliance reports (GHG Protocol, ESRS, XBRL)
• Publish public climate progress dashboards
• Manage supplier emission data across the value chain

3. Account Registration and Security

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized access or security breach
• Ensuring that your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice where possible.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Attempt to gain unauthorized access to other accounts, systems, or networks
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload malicious code, viruses, or any harmful content
• Use automated means to access the Service without our prior written consent
• Resell, sublicense, or redistribute the Service without authorization
• Deliberately submit false or misleading emissions data to generate fraudulent reports
• Interfere with or disrupt the integrity or performance of the Service

5. Your Data and Content

You retain all ownership rights to the data, documents, and content you upload to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely for the purpose of providing the Service.

We do not claim ownership of Your Data. We will not access, use, or share Your Data except as necessary to provide the Service, comply with applicable law, or as outlined in our Privacy Policy.

You are responsible for ensuring that Your Data does not infringe on any third-party rights and that you have the necessary permissions to upload and process such data.

6. Data Portability and Export

You may export Your Data at any time through the export features provided in the Service. Upon termination of your account, we will provide a reasonable period (minimum 30 days) for you to export Your Data before it is permanently deleted.

7. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to notify users in advance of scheduled downtime. Support is available via email at support@scoped.earth.

8. Intellectual Property

The Service, including its design, source code, algorithms, documentation, branding, and all associated intellectual property, is owned by BetterVue and protected by applicable copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

9. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., authentication providers, analytics tools, emission factor databases). We are not responsible for the availability, accuracy, or practices of these third-party services.

10. Fees and Payment

Certain features of the Service may require a paid subscription. Applicable fees, billing cycles, and payment terms will be communicated to you before you commit to a paid plan. All fees are exclusive of applicable taxes unless stated otherwise.

We reserve the right to change our pricing with at least 30 days' notice. Price changes will not affect your current billing cycle.

11. Warranty Disclaimer (Gewährleistung)

The Service is provided "as is" and "as available". To the extent permitted by Austrian law (ABGB §§ 922 ff.), we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability and fitness for a particular purpose.

While we strive to provide accurate emission calculations and reporting, we do not warrant that the results produced by the Service are error-free or suitable for regulatory compliance without independent verification. Users are responsible for verifying the accuracy of their data and reports.

12. Limitation of Liability

To the maximum extent permitted by Austrian law, BetterVue shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This does not affect mandatory liability under Austrian law, including liability for intent and gross negligence (§ 6 Abs. 1 Z 9 KSchG).

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless BetterVue from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. We may terminate or suspend your access if you violate these Terms, with notice where reasonably possible.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Austria, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Vienna, Austria.

For consumers within the European Union, mandatory consumer protection provisions of their country of residence apply in accordance with Art. 6(2) of the Rome I Regulation (EC) No 593/2008.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid under Austrian law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
